These Terms of Service ("Terms") govern your access to and use of the services provided by Biyét Growth ("Biyét Growth," "we," "us," "our"). By engaging us or by using this website, you agree to these Terms.
1. Acceptance of Terms
By signing a proposal, paying an invoice, or otherwise engaging Biyét Growth, you confirm that you have read, understood, and accepted these Terms in full.
2. Services Provided
Biyét Growth provides performance marketing services including, but not limited to: paid media management (Meta Ads, Google Ads, TikTok Ads), SEO, conversion-focused website design, social media management, and related growth strategy and analytics. The exact scope of each engagement is documented in a written proposal or statement of work.
3. Client Responsibilities
- Provide timely access to required accounts, assets, and approvals.
- Supply accurate information about your business, products, and audiences.
- Maintain the ad spend, software, and platform fees required to deliver the engagement.
- Respond to requests for feedback or approvals within reasonable timeframes.
4. Payment Terms
Services are invoiced monthly in advance unless otherwise agreed in writing. Invoices are due within 7 days of issuance. Late payments may result in suspension of services. Ad spend is paid directly by the client to the respective ad platform and is not invoiced by Biyét Growth unless otherwise agreed.
5. Intellectual Property
Upon full payment for the corresponding work, the client owns the final ad creatives, copy, and deliverables produced specifically for them. Biyét Growth retains ownership of internal frameworks, templates, processes, tooling, and any pre-existing intellectual property used to deliver the work. We may showcase non-confidential work in our portfolio unless explicitly prohibited in writing.
6. Confidentiality
Both parties agree to keep confidential information private and to use it only for the purpose of delivering the engagement.
7. Limitation of Liability
Biyét Growth's total liability arising from any engagement is limited to the fees paid by the client in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or revenue, even if advised of the possibility of such damages. Marketing performance is influenced by many factors outside our control; we make no guarantees of specific results.
8. Termination
Either party may terminate an engagement with thirty (30) days written notice. Fees for work already performed and committed third-party costs remain payable. We may terminate immediately for material breach, including non-payment.
9. Governing Law
These Terms are governed by the laws of NG, without regard to its conflict-of-law principles. Where required by applicable consumer protection or commercial law, additional provisions may apply to international clients located in the US, CA, and UK. The parties will first attempt to resolve any dispute in good faith before pursuing formal proceedings.
10. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance.
